Terms of Service

1. What the Platform does

The Platform connects companies who want to buy time with decision-makers ("Vendors") with companies whose decision-makers are willing to sell that time in structured evaluation sessions ("Decision-makers"). The Platform handles discovery, brief delivery, and acceptance. Scheduling and payment between Vendor and Decision-maker happen outside the Platform.

2. Marketplace fee — Decision-makers

When you accept a booking request on the Platform, a marketplace fee of 20% of the session price as listed on your profile at the time of acceptance enters a pending state.

The pending fee becomes invoicable when both you and the Vendor confirm the session took place, OR 21 days pass after acceptance without either side reporting a no-show.

Either party can mark a session as "did not happen" within 21 days of acceptance — through the Platform's in-app tool — which cancels the commission. We may follow up to verify, and may reverse the cancellation in cases of repeated abuse.

The Platform invoices you for accumulated invoicable fees monthly. Invoices are due within 14 days.

The Platform delivers value (matchmaking, brief delivery, your reputation surface) at the moment of acceptance. The session itself is the business relationship between you and the Vendor.

3. Payment between Vendor and Decision-maker

Vendor is responsible for paying the Decision-maker directly via the Decision-maker's normal invoicing process. The Platform is not a party to that transaction and does not handle or hold payments between Vendor and Decision-maker. Disputes about the session itself are between Vendor and Decision-maker.

4. Off-platform avoidance

Sessions arranged through contacts first established on the Platform must be booked on the Platform and are subject to the marketplace fee, regardless of whether the meeting itself takes place on or off the Platform. This obligation applies for 12 months from the initial accepted booking between a given Vendor and Decision-maker pair.

Circumventing this provision — including taking conversations off-platform to avoid the marketplace fee, or arranging follow-up sessions outside the Platform within the 12-month period — constitutes a breach of these terms.

Consequences of breach may include: suspension or termination of the offending account(s); recovery of unpaid marketplace fees through normal debt collection (including, where applicable, registered debt collection agencies and Finnish enforcement authorities); and other contractual remedies available under Finnish law.

If you believe a contact already existed before connecting on the Platform, contact the Platform admin in writing within 7 days of the first booking to flag the prior relationship; we will record it and exempt that pair from this clause.

5. Quality and conduct

Both Vendors and Decision-makers are expected to behave professionally. The Platform may suspend or terminate accounts for repeated low-quality briefs, no-shows, abusive behavior, or attempts to use the Platform for unauthorized solicitation.

6. Data

Hosted on EU infrastructure (Supabase eu-north-1, Vercel). We process personal data necessary to operate the marketplace: name, work email, LinkedIn URL, company information, briefs, ratings. We don't sell your data. See the privacy policy for details (coming).

7. Limitation of liability

The Platform is provided "as is". We're not liable for outcomes of the sessions, content of briefs, payments between Vendor and Decision-maker, or any indirect or consequential damages. Our maximum aggregate liability is capped at the marketplace fees you've paid us in the past 12 months.

8. Governing law

These terms are governed by the laws of Finland. Disputes are subject to the exclusive jurisdiction of the courts of Helsinki, Finland.
